Terms of Service

1. Agreement

These Terms of Service are an agreement between you and Monoceros s. r. o., the operator and supplier of ModoPersona. ModoPersona is the name of the service, not a separate legal entity. By creating an account, starting a trial, or using ModoPersona, you agree to these terms, the incorporated Data Processing Agreement, and acknowledge the Privacy Policy. When you use ModoPersona for work, you confirm that your employer permits you to use a cloud service for the information you enter or connect. Creating a manager workspace does not enroll your employer or require an organization-wide rollout. If you do not agree or lack authorization, do not use the service for workplace data.

2. The service

ModoPersona is a private, self-serve workspace that helps an individual manager preserve useful context, prepare for 1:1 conversations, and make better-informed follow-up decisions. It can process manager-authored notes, written or spoken post-conversation recaps, calendar context, and limited sales-pipeline or work-item context to create reviewable memory, prompts, and suggested next actions.

ModoPersona is a preparation aid. It is not an employee surveillance, performance-rating, legal, medical, or human-resources decision system. Its generated content may be incomplete or incorrect. You remain responsible for reviewing the evidence, using professional judgment, and making every employment or managerial decision yourself.

You may use output to prepare a neutral conversation or follow-up. You may not use it to make, guide, recommend, or materially influence hiring, promotion, compensation, performance evaluation, discipline, termination, scheduling, or another consequential employment decision.

Records imported from a sales CRM or work-item service describe business context such as an account, opportunity, task, stage, next step, deadline, or blocker. They may support a neutral question but are never converted into employee facts and never enter sentiment, severity, conversational signals, attention priority, employee comparison, quota or performance evaluation, or an employment decision.

Manager-authored notes may support tentative conversational context, such as a recurring blocker, possible frustration, workload concern, or change in energy or ownership. The service links that context to the note and does not present it as a certain internal, medical, or psychological state. ModoPersona does not infer emotion from facial expressions, gestures, voice characteristics, biometrics, connected-system activity, or productivity telemetry.

3. Eligibility and accounts

• You must be at least 18 years old and legally able to enter into a contract.
• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your credentials and for activity under your account. Tell us promptly if you suspect unauthorized access.
• Your standard workspace is private to your account. Another manager does not gain access merely because they work for the same employer or use the same email domain.
• You may not share an account in a way that defeats access controls or impersonate another person or organization.

4. Your responsibilities for people data

ModoPersona is designed to hold information about people you directly manage. You are responsible for being authorized by your employer and for any lawful basis, transparency, or workplace approval that applies before entering, recording, importing, or otherwise processing that information. ModoPersona does not require direct reports to create accounts or provide consent.

• Use only data that is relevant and proportionate to legitimate management purposes.
• Do not record a live 1:1 or make a secret recording. Audio capture is limited to your own short recap after a conversation.
• Do not enter health, disability, biometric, precise-location, special-category, highly sensitive, or unrelated personal information. ModoPersona is not a health service.
• Respect access, correction, deletion, retention, labor, employment, and consultation rights that apply to your workplace.

5. Your content

You retain ownership of content you submit or import. You give ModoPersona a limited, worldwide license to host, copy, transmit, transform, and otherwise process that content only as needed to provide, secure, support, and improve the service, comply with law, and enforce these terms. You confirm that you have the rights needed to provide the content and grant this license.

You may export account data through the service. When you delete your account, we delete account content from active systems as described in the Privacy Policy, subject to limited legal, security, billing, and backup retention.

6. Acceptable use

You may not use ModoPersona to:

• break the law, violate another person's rights, or facilitate discrimination;
• use output to make, guide, recommend, or materially influence a consequential employment decision;
• screen applicants or employees for hiring or promotion, analyze applicant interviews, or infer protected characteristics;
• covertly monitor employees or build unrelated dossiers about them;
• upload malware, probe or bypass security, or disrupt the service;
• access another customer's data or account without authorization;
• reverse engineer or copy the service except where that restriction is prohibited by law; or
• resell or sublicense the service unless we have agreed in writing.

7. Connected services and AI providers

If you connect a third-party service, you authorize ModoPersona to access and process the data you select from that service through your account. Your use of Google, Microsoft, Jira, Linear, Asana, HubSpot, Pipedrive, Attio, Paddle, and other third-party services remains subject to their terms and any workspace-admin authorization they require. We are not responsible for third-party services, their availability, or changes they make.

ModoPersona uses third-party AI providers to transcribe, extract, organize, and generate relevant content. AI output is probabilistic and must be checked against its supporting evidence before you rely on it.

8. Trials, subscriptions, and payment

A free trial lasts for the period shown when you sign up. Paid plans, prices, billing periods, taxes, and renewal terms are shown at checkout. Paddle is the merchant of record and authorized reseller for paid purchases: you purchase the subscription from Paddle, while Monoceros s. r. o. supplies and operates the ModoPersona service under these terms. Your purchase is also governed by the Paddle Buyer Terms. Paddle handles payment, applicable taxes, invoicing, refunds, and subscription billing. Unless the checkout terms say otherwise, subscriptions renew automatically until canceled through the billing portal. Cancellation stops future renewal and access continues through the paid period. Statutory cancellation, refund, and consumer rights remain unaffected.

We may change plans or prices prospectively. We will give reasonable advance notice when a change affects an existing paid subscription.

9. Intellectual property and feedback

ModoPersona and its software, design, branding, and documentation are owned by the service operator or its licensors. Except for the limited right to use the service under these terms, no rights are transferred to you. If you provide feedback, we may use it without restriction or compensation, but we will not identify you publicly without permission.

10. Suspension and termination

You may stop using ModoPersona or delete your account at any time. We may suspend or terminate access if you materially breach these terms, create a security or legal risk, do not pay amounts due, or misuse the service. Where reasonably possible, we will give notice and an opportunity to fix the issue. We may discontinue the service with reasonable notice and an opportunity to export your data when practical.

11. Service availability and warranties

We work to keep ModoPersona secure and available, but the service may occasionally be interrupted or changed. To the maximum extent permitted by law, the service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted and error-free operation. Nothing in these terms excludes a warranty or consumer right that cannot lawfully be excluded.

12. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. ModoPersona's total liability arising from the service will not exceed the greater of the amount you paid for the service in the 12 months before the event giving rise to the claim or EUR 100.

These limits do not apply where liability cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence. Mandatory consumer protections remain unaffected.

13. Changes to these terms

We may update these terms as the service or law changes. We will post the revised terms and update the date above. For material changes, we will provide reasonable notice through the service or by email. If you continue using the service after the effective date, the revised terms apply; if you do not agree, you must stop using the service.

14. General

If part of these terms is unenforceable, the remaining terms stay in effect. A delay in enforcing a term is not a waiver. You may not transfer your account or these terms without our consent; we may transfer them as part of a reorganization, financing, merger, acquisition, or sale of the service.

These terms and your use of ModoPersona are governed by the laws of the Slovak Republic, without regard to conflict-of-law rules. The courts of the Slovak Republic have jurisdiction, except where mandatory law gives you the right to use another law or court. If you are a consumer, this choice does not deprive you of mandatory protections under the law of your country of residence or limit your right to bring a claim in a court available to you under mandatory consumer law.
